These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services provided by Velayo, Inc. ("Velayo," "we," "us," or "our"), including velayo.ai and OurProvisions. By accessing or using our services, you agree to be bound by these Terms.
If you do not agree to these Terms, please do not use our services.

Who Can Use Our Services
You must be at least 13 years old to use our services. By using Velayo, you represent that you meet this requirement. If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Our Services
Velayo builds AI-powered software applications designed to help people live healthier, smarter, and more sustainably. Our current and future applications may include grocery management tools, lifestyle apps, and other consumer software.
We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of services.

Accounts & Registration
Some features may require you to create an account. You are responsible for:
- Providing accurate and complete information during registration.
- Maintaining the security of your account credentials.
- All activity that occurs under your account.
Please notify us immediately at hello@velayo.ai if you suspect unauthorized access to your account.

Payments & Subscriptions
Some Velayo applications are available for purchase or on a subscription basis. By making a purchase, you agree to pay the applicable fees. All payments are processed securely by Stripe. Prices are displayed in USD unless otherwise noted.
For subscription services, you authorize us to charge your payment method on a recurring basis. You may cancel at any time through your account settings, and cancellation will take effect at the end of the current billing period.
Refunds are handled on a case-by-case basis. If you are unsatisfied with a purchase, please contact us at hello@velayo.ai within 14 days.

Acceptable Use
You agree to use our services only for lawful purposes. You may not:
- Violate any applicable laws or regulations.
- Infringe on the intellectual property rights of Velayo or any third party.
- Attempt to gain unauthorized access to any part of our systems.
- Use our services to transmit spam, malware, or harmful content.
- Reverse engineer, decompile, or attempt to extract source code from our applications.
- Use our services in any way that could damage, disable, or impair them.

Intellectual Property
All content, features, and functionality of Velayo's services — including text, graphics, logos, software, and design — are owned by Velayo, Inc. and protected by applicable intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of our services without our prior written consent.

User Content
If our applications allow you to submit content (such as grocery lists, preferences, or other data), you retain ownership of that content. By submitting content, you grant Velayo a limited license to use it solely to provide and improve our services. We will never sell your personal content to third parties.

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect, use, and protect your information.

Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure. Your use of our services is at your own risk.

Limitation of Liability
To the fullest extent permitted by law, Velayo, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Indemnification
You agree to indemnify and hold harmless Velayo, Inc. and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of our services or violation of these Terms.

Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Delaware, and you consent to personal jurisdiction in those courts.

Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email (if you are a registered user) and by updating the "Last Updated" date above. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
